Small Batch Direct 3PL Terms of Service

These Terms of Service govern access to and use of Small Batch Direct 3PL websites, portals, integrations, fulfillment workflows, support channels, and related services. Separate written agreements, statements of work, rate cards, quotes, or order forms may apply to specific services. If those documents conflict with these Terms, the more specific written agreement controls for that service.

Our Services

Small Batch Direct 3PL provides third-party logistics services, including receiving, storage, inventory support, pick-pack-ship fulfillment, shipment tracking, kitting, retail prep, co-packing coordination, billing support, customer support, and seller-authorized sales channel integrations.

Accounts and Authorized Users

• You are responsible for ensuring that account users are authorized to act for your business.
• You must provide accurate onboarding, billing, inventory, product, order, and contact information.
• You are responsible for maintaining the confidentiality of your account access and notifying us promptly about suspected unauthorized use.

Seller Integrations

When you connect a sales channel or marketplace account, you authorize Small Batch Direct 3PL to access and process only the data needed to provide fulfillment, inventory, support, billing, and related operational services for your business. Integrations may include Etsy, Shopify, WooCommerce, Amazon, Faire, Walmart, TikTok Shop, OpenCart, PrestaShop, CSV, or custom workflows.

• You must own or be authorized to connect each seller, store, marketplace, or channel account.
• You must comply with the terms and policies of each connected marketplace, carrier, platform, and service provider.
• We do not ask sellers to share marketplace passwords. Where supported, connections should use OAuth or another approved authorization method.
• We may import order, SKU, shipment, inventory, and customer delivery details needed to fulfill your orders and may send fulfillment, tracking, inventory, or status updates back to the connected channel when enabled.

Small Batch Direct 3PL, not Etsy, provides this application and service. Etsy, Inc. and its affiliates are not the application developer, do not provide this application service, and make no warranties regarding the application or data accessed through it.

Prohibited Uses

• You may not use the services for unlawful, deceptive, infringing, abusive, unsafe, or unauthorized activity.
• You may not use the services to scrape marketplaces, bypass marketplace controls, evade platform policies, or access data without proper authorization.
• You may not submit products, inventory, labels, orders, or shipping instructions that violate applicable laws, carrier rules, marketplace rules, or our acceptance requirements.
• You may not interfere with the security, availability, or normal operation of our portal, integrations, systems, or connected providers.

Fulfillment, Inventory, and Shipping

You are responsible for accurate product information, SKU setup, inventory notices, packaging requirements, shipping instructions, recipient details, and compliance information. Carrier timelines, marketplace delivery promises, address accuracy, customs requirements, and delivery outcomes may depend on third parties outside our control. We may pause or decline work that is unsafe, incomplete, restricted, noncompliant, unpaid, or outside the agreed service scope.

Fees and Payment

Small Batch Direct 3PL is a paid, quote-based service. Fees may include onboarding, storage, receiving, fulfillment labor, kitting, retail prep, packaging materials, postage, freight, integration support, account management, billing administration, or other agreed charges. Payment terms are set by the applicable quote, invoice, rate card, order form, or written agreement.

Data and Privacy

Our handling of personal information, seller data, order data, and integration data is described in our Privacy Policy. By using the services, you authorize us to process information as needed to provide, secure, support, bill, and improve the services.

Third-Party Services

Our services may rely on marketplaces, ecommerce platforms, carriers, postage providers, payment processors, hosting providers, automation providers, and other third-party services. We are not responsible for third-party outages, policy changes, data delays, API changes, carrier delays, or decisions made by those providers.

Suspension or Termination

We may suspend or terminate access to services when required by law, contract, security concerns, unpaid balances, suspected misuse, platform requirements, operational risk, or material breach of these Terms or another applicable agreement. You may request disconnection of an integration or account closure by contacting support.

Disclaimers and Limitation of Liability

Services are provided on a commercially reasonable basis and may depend on information, inventory, systems, carriers, and platforms outside our control. To the fullest extent permitted by law, Small Batch Direct 3PL disclaims implied warranties and will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages. Any liability will be limited to the amount paid for the affected service during the period giving rise to the claim, unless a separate written agreement states otherwise.

Changes to These Terms

We may update these Terms to reflect changes in our services, systems, providers, legal obligations, or business practices. The effective date above shows when these Terms were last updated.
